1. Acceptance of These Terms

Welcome to EscrowFlo ("EscrowFlo," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the EscrowFlo website, software applications, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms. If you are using the Services on behalf of a brokerage, company, or other organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Services.

2. Description of Services

EscrowFlo is a cloud-based software platform designed to assist real estate professionals with transaction management, including but not limited to:

  • Transaction organization
  • AI-assisted document analysis
  • Deadline extraction
  • Task management
  • Timeline visualization
  • Email reminders
  • Calendar integrations
  • Team collaboration
  • Reporting and exports
  • Workflow automation

EscrowFlo is intended as a productivity tool and is not a substitute for professional legal, brokerage, escrow, title, or compliance services.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.

You agree that all registration information you provide is accurate, current, and complete.

4. Account Registration

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • Restricting access to your account.
  • All activities that occur under your account.
  • Promptly notifying EscrowFlo of any unauthorized access or suspected security breach.

EscrowFlo is not responsible for losses resulting from your failure to protect your account credentials.

5. Subscription Plans and Billing

Certain features require a paid subscription.

By subscribing, you authorize EscrowFlo and its payment processor to charge your selected payment method for all applicable fees, taxes, and renewals.

Unless otherwise stated:

  • Subscriptions renew automatically.
  • You may cancel renewal at any time before the next billing cycle.
  • Subscription fees are non-refundable except where required by law or expressly stated by EscrowFlo.

Promotional pricing, discounts, and trial offers may be subject to additional terms.

6. Free Trial

EscrowFlo may offer free trial periods.

Unless canceled before the trial ends, your subscription will automatically convert to a paid subscription using your selected payment method.

EscrowFlo reserves the right to modify or discontinue free trial offers at any time.

7. User Content

You retain ownership of all information, documents, and materials you upload to the Services ("User Content").

By uploading User Content, you grant EscrowFlo a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, analyze, store, and display such content solely for the purpose of providing and improving the Services.

You represent that you have all necessary rights and permissions to upload User Content.

8. AI-Assisted Features

EscrowFlo uses artificial intelligence to assist users with extracting dates, deadlines, and other information from uploaded documents.

You acknowledge and agree that:

  • AI-generated information may contain errors or omissions.
  • AI results are estimates only.
  • AI should not be relied upon without independent verification.
  • Users remain solely responsible for reviewing all extracted information.

EscrowFlo makes no guarantee regarding the completeness or accuracy of AI-generated content.

9. No Legal, Escrow, Brokerage, or Financial Advice

EscrowFlo is a technology platform.

Nothing within the Services constitutes:

  • Legal advice
  • Brokerage advice
  • Escrow advice
  • Financial advice
  • Tax advice
  • Regulatory advice
  • Title advice
  • Compliance advice

Users should consult qualified professionals before making decisions based upon information contained within the Services.

10. User Responsibilities

You agree to:

  • Verify all transaction deadlines.
  • Independently review AI-generated information.
  • Maintain accurate transaction information.
  • Protect confidential client information.
  • Comply with all applicable laws and regulations.
  • Obtain all required client authorizations.
  • Maintain appropriate professional licenses where required.

You are solely responsible for all actions taken based upon information provided by EscrowFlo.

11. Prohibited Uses

You may not:

  • Use the Services for unlawful purposes.
  • Upload malicious software.
  • Attempt unauthorized access to any system.
  • Reverse engineer the Services except where prohibited by law.
  • Interfere with system security.
  • Upload content you do not have permission to use.
  • Violate another person's privacy.
  • Use automated tools to scrape or copy the Services without written permission.
  • Misrepresent your identity or affiliation.

EscrowFlo may suspend or terminate accounts engaged in prohibited conduct.

12. Availability of Services

We strive to maintain reliable service but do not guarantee uninterrupted availability.

The Services may occasionally be unavailable due to:

  • Maintenance
  • Software updates
  • Security events
  • Internet outages
  • Third-party service interruptions
  • Circumstances beyond our reasonable control

13. Third-Party Services

EscrowFlo integrates with third-party providers including, but not limited to:

  • Stripe
  • Supabase
  • SendGrid
  • Anthropic Claude
  • OpenAI
  • Calendar providers
  • Cloud hosting providers

Your use of third-party services may also be governed by their respective terms and privacy policies.

EscrowFlo is not responsible for the acts or omissions of third-party providers.

14. Intellectual Property

The Services, including software, logos, trademarks, designs, graphics, text, workflows, and documentation, are owned by EscrowFlo or its licensors and are protected by intellectual property laws.

Except as expressly permitted, no portion of the Services may be copied, reproduced, distributed, modified, or exploited without prior written permission.

15. Feedback

If you provide suggestions, ideas, or feedback regarding the Services, you grant EscrowFlo a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

16. Confidentiality

Users may access confidential information relating to clients, transactions, or other users.

You agree to maintain appropriate confidentiality and comply with all applicable privacy laws and professional obligations regarding such information.

17. Data Security

EscrowFlo implements commercially reasonable administrative, technical, and organizational safeguards to protect customer data.

However, no system is completely secure, and we cannot guarantee absolute protection against unauthorized access or security incidents.

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCROWFLO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • UNINTERRUPTED SERVICE

EscrowFlo does not warrant that the Services will be error-free or that all defects will be corrected.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCROWFLO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, ESCROWFLO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU TO ESCROWFLO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless EscrowFlo, its affiliates, officers, employees, contractors, licensors, and service providers from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of applicable laws or regulations.
  • Your infringement of the rights of any third party.

21. Suspension and Termination

EscrowFlo may suspend or terminate your account immediately if you:

  • Violate these Terms.
  • Engage in fraudulent or unlawful conduct.
  • Create security risks.
  • Fail to pay applicable fees.
  • Abuse the Services.

You may terminate your account at any time through your account settings or by contacting us.

Termination does not relieve you of any payment obligations incurred before termination.

22. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Honolulu County, Hawaii, and each party irrevocably submits to the jurisdiction of those courts.

23. Dispute Resolution

Before initiating litigation, the parties agree to make a good-faith effort to resolve any dispute informally by providing written notice describing the issue and allowing at least thirty (30) days for discussion.

Nothing in this section prevents either party from seeking temporary injunctive relief where necessary to protect intellectual property or confidential information.

24. Changes to the Services

EscrowFlo may modify, improve, suspend, or discontinue any portion of the Services at any time.

We will use reasonable efforts to notify users of material changes where appropriate.

25. Changes to These Terms

We may revise these Terms from time to time.

When material changes are made, we will update the Effective Date and may provide additional notice through the Services or by email.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

26. Force Majeure

EscrowFlo shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, power failures, or failures of third-party service providers.

27. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and EscrowFlo regarding the Services and supersede all prior or contemporaneous agreements relating to the subject matter.
